JUNE 1987 ARTICLE Cl. NAME The name of this Association shall be THE RADBURN CITIZENS' ASSOCIATION. ARTICLE C2. PURPOSES The purposes of the Citizens' Association are (a) To serve as an open forum to give opportunity for the consideration and discussion of matters of public interest. (b) To act as an agency for the presentation to the Radburn Association and to other public or private bodies, of community opinion arrived at through public discussion and other appropriate means. (c) To provide a common meeting place for the members. (d) To foster the development of community life and a realization of its benefits and responsibilities. (e) To cooperate with other organizations in the furtherance of the above purposes for the welfare of Radburn and the entire community of Fair Lawn. ARTICLE C3. MEMBERSHIP Membership in the Citizens' Association shall be open to all persons over the age of 1 8 years, who reside in property subject to the Radburn Property restrictions and to Radburn Association charges. Owners of record of property subject to the Declaration of Restrictions of the Radburn Association including non-resident owners, of residential and non-residential property are automatic members of the Citizens' Association. ARTICLE C4. OFFICERS The officers of the Citizens' Association shall be: A President, a Vice President, a Secretary and a Treasurer. However, the officers of Secretary and Treasurer may be merged and the duties performed by one person. All officers must be members of the Citizens' Association and shall serve for a term of one year as stated by the Bylaws. An officer may succeed himself for one term. The President, only, shall serve for a term of two years and may succeed himself for one further term. ARTICLE C5. COMMITTEES SECTION 1 - EXECUTIVE COMMITTEE: There shall be an executive committee consisting of the President, Vice President, Secretary, Treasurer, and the chairmen of committees both standing and special, during their respective terms of office. SECTION 2 - STANDING COMMITTEES: The standing committees of the Citizens' Association shall be:
The special duties of the several committees are briefly stated in the above paragraphs, though these -statements are not to be regarded as complete or final. SECTION 3 - SPECIAL COMMITTEES: Special Temporary committees may be appointed by the President from time to time, to consider and report on special problems or matters of interest to the Citizens' Association After the final report of such a committee has been accepted at a regular or special meeting of the Citizens' Association, the committee shall be automatically discharged. ARTICLE C6. - DUTIES OF OFFICERS AND EXECUTIVE COMMITTEE SECTION 1 - PRESIDENT: It shall be the duty of the President to preside at all meetings of the Citizens' Association and of the Executive Committee, to appoint all committees except standing committees, to perform other duties usually associated with his office and generally to promote the interests of the Citizens' Association. The President is required to attend all Board of Trustees meetings. The President shall carry all motions duly passed by the Citizens' Association members for action by the Radburn Association trustees, support the motion, and to report the action, vote, etc. taken at the trustees meeting. The President shall also be an ex-officio member of all committees, except the committee for nominating officers of the Citizens' Association. The President shall clear with Radburn Board of Trustees dates for any function which the Citizens' Association may desire to run and seek approval for said function or activity. SECTION 2 - VICE PRESIDENT: It shall be the duty of the Vice President to assist the President at all times in the performances of his duties, and to discharge such other duties as may be delegated to him by the President, and in the absence of the President to take over his duties. SECTION 3 - SECRETARY: It shall be the duty of the Secretary to keep the records of the Citizens' Association, to take minutes of its meetings and to perform any other duties usually associated with his office or which may be assigned to him from time to time by the Citizens' Association or its Executive Committee. The Secretary shall also keep a record of all committees and committee chairmen. SECTION 4 - TREASURER: It shall be the duty of the Treasurer to collect and keep safely all monies owing to the Citizens' Association, to expend same as provided in the Bylaws and to keep records of all such receipts and expenditures. SECTION 5 - EXECUTIVE COMMITTEE: The duties of the Executive Committee shall be to manage and conduct the affairs of the organization between Citizens' Association meetings, to carry out policies adopted at Citizens' Association meetings, to initiate action on community welfare and activities, and generally to promote the purposes of the Citizens' Association. The Executive Committee shall at the November meeting of the Citizens' Association present, in writing, a year end report containing any recommendations or suggestions for the coming year. The Executive Committee shall audit the books of the Treasurer one month prior to the next election. ARTICLE C7. - AMENDMENTS TO CONSTITUTION This constitution may be amended in the following manner: By motion
to amend in the manner specified in said motion, made at any meeting of
the Citizens' Association. If the motion is carried by a majority of those
present and voting, the amendment shall forthwith be posted on the bulletin
board of the Radburn Association and a copy thereof shall be sent to the
homes of all members prior to the next meeting in two issues of the bulletin.
The amendment shall be acted upon at the next meeting of the Citizens'
Association where it may be modified by motion in the usual way, so long
as the scope and substance of the proposed amendment as previously published
are not radically altered. A quorum to amend the Constitution and Bylaws
shall consist of not less than 20 members. If two thirds of the members
present and voting at said meeting are in favor of the amendment as finally
proposed, the amendment shall be passed and become a part hereof.
